Welcome to use our products!

PandaResume (as defined below) is an Internet software service provided by Shanghai Zipin Network Technology Co., Ltd. (hereinafter referred to as "Zipin" or "we"). This Service Agreement (hereinafter referred to as the "Terms of Service" or the "Agreement") is the primary agreement between you ("you" or the "user") and Zipin regarding your access to and use of PandaResume, as well as other services provided by Zipin (collectively, the "Services"). By registering for, logging into, or using PandaResume and/or enjoying any Services provided by Zipin, you agree to accept these Terms of Service. Therefore, before clicking to agree to this Agreement during the registration process, you should read this Agreement carefully. Please be sure to read and fully understand all terms prudently. If you have any questions about this Agreement, you may consult PandaResume customer service. When you complete the registration process by filling in the required information, reading and agreeing to this Agreement, and completing all registration procedures, you will be deemed to have fully read, understood, and accepted all contents of this Agreement, and to have entered into this Agreement with PandaResume as a "user." If you do not agree to this Agreement or any term herein during the reading process, you should immediately stop the registration process.

Due to the rapid development of the Internet, the terms listed in this Agreement between you and Zipin cannot completely enumerate and cover all rights and obligations between you and Zipin, and the existing terms may not fully satisfy future development needs. Therefore, Zipin's Legal Statement, Privacy Policy, and other policies shall constitute supplementary agreements to this Agreement, are inseparable from this Agreement, and have the same legal effect. If you use PandaResume or any other services of Zipin, you are deemed to have agreed to the foregoing supplementary agreements. Zipin has the right to modify and supplement the Terms of Service from time to time and publish such changes on PandaResume. Under normal circumstances, such modifications and supplements will take effect immediately upon publication, for example when changes are required to comply with applicable laws. Your continued access to and use of PandaResume will be deemed acceptance of the revised Terms of Service. Otherwise, you have the right to terminate the Terms of Service by stopping access to PandaResume, refusing to use the Services, deleting your information and account on PandaResume, and similar measures.

1. Definitions

PandaResume: refers to the website with the domain name https://www.pandaresume.cn/, WeChat official accounts, WeChat mini programs, and various online platforms and clients.

Zipin: refers to Shanghai Zipin Network Technology Co., Ltd., the operator and service provider of PandaResume.

PandaResume Services: various free or value-added services provided by Zipin over the Internet in various forms, including the PandaResume website, client applications, and any new forms of service arising from future technological development.

User: a person with full civil capacity who uses PandaResume Services.

Account: the user identity information registered by a user for the purpose of using PandaResume Services and Zipin Services; only registered account holders may use PandaResume Services and Zipin Services.

2. User Eligibility

2.1 You confirm that, before starting the registration process and using PandaResume Services, you possess the civil capacity required under the laws of the People's Republic of China to undertake the relevant acts.

2.2 You must be an adult aged 18 or above, or at least 16 years old and primarily supported by your own labor income, in order to access or use the Services. If you do not meet the foregoing age requirements, please read this Agreement and other related agreements together with your parents or other legal guardians. You must obtain the direct permission of your parents or other legal guardians, and use the Services under the direct supervision of your legal guardian or another authorized adult (for example, your teacher) after the guardian agrees to be bound by this Agreement.

2.3 In addition, you must ensure that you are not the subject of trade restrictions, economic sanctions, or other legal restrictions imposed by any country, region, or international organization, and that you do not directly or indirectly provide funds, goods, or services to such subjects. Otherwise, you must stop using PandaResume Services. You also understand that violation of the foregoing requirements may make it impossible for you to properly register for or use PandaResume Services.

2.4 In order to lawfully and compliantly provide better services to users, Zipin may adjust the information users are required to submit from time to time. If a user disagrees with providing such information, the user should stop using Zipin's Services. Users shall agree that Zipin may review their registration information and may ask questions or request explanations regarding related issues.

3. Account Description

3.1 After you complete the registration process by following the prompts on the registration page, reading and agreeing to this Agreement, and completing all registration procedures, you may obtain a PandaResume account and become a PandaResume user. The registration, login, and service usage methods published by us are the only lawful methods for registering, logging in, and using the Services.

3.2 You may not use PandaResume accounts or Services for illegal profit-making activities such as reselling, transferring, exchanging, pledging, or other valuable transactions. Once discovered, we have the right to take strict measures, including but not limited to freezing, clearing, or banning the account.

3.3 PandaResume permits each user to use only one PandaResume account. If there is evidence or PandaResume determines under its rules that you have improperly registered for or improperly used multiple PandaResume accounts, PandaResume may freeze or close the accounts, cancel orders, refuse to provide services, and take other measures. If losses are caused to PandaResume or related parties, you shall also bear liability for compensation.

3.4 You have the right to use the username, email address, or mobile phone number you set or confirm (collectively, the "Account Name") together with the password you set (the Account Name and password together, the "Account") to log in to PandaResume.

3.5 Because your PandaResume account is associated with your personal information or that of your authorized representative, your PandaResume account may only be used by you and your authorized representative. Without PandaResume's consent, any direct or indirect authorization by you for a third party to use your PandaResume account or obtain information under your account shall be invalid. If Zipin determines that the use of your PandaResume account may endanger your account security and/or the information security of PandaResume, PandaResume may refuse to provide corresponding services or terminate this Agreement.

3.6 Only where expressly provided by law, ordered by a judicial ruling, or agreed by Zipin may you transfer your account. Once transferred, the rights and obligations under the account shall be transferred together. Except in such circumstances, your account may not be transferred in any manner. Otherwise, PandaResume has the right to pursue your liability for breach, and all resulting responsibilities and consequences shall be borne by you.

3.7 In order to help you better use the various PandaResume Services and safeguard your account security, Zipin may require you to complete real-name verification in accordance with relevant laws and regulations.

3.8 PandaResume accounts may not be used for illegal profit-making purposes. We are not responsible for any issues arising from illegal sale, sharing, or similar misuse of accounts, including but not limited to information leakage, account loss, or account cancellation.

3.9 Font services you obtain through the Services, whether free or paid, are for your personal use only. Font services obtained free of charge may only be used for personal non-commercial purposes, limited to screen display and printing. For paid font services, whether they may be used for non-commercial or commercial purposes, and the specific scope of commercial use, shall be subject to the authorization information displayed on the website at the time of purchase. You may not copy, distribute, sell, lease, disseminate through information networks, translate, promise to sell, provide, license, use, or otherwise use the obtained font services for any third party or for the benefit of any third party.

3.10 If your account meets any of the following conditions, Zipin may reclaim your account, and your account will no longer be able to log in to PandaResume, and the corresponding services will terminate at the same time:

• (1) You violate the contents of this Agreement;
• (2) You voluntarily apply for account closure;
• (3) We have reason to believe that your use may cause or may potentially cause harm to our lawful rights and interests and/or those of others.

3.11 Zipin's provision of Services to users is itself a commercial activity. Users have the right to decide independently whether to pay the corresponding fees, according to the charging items and standards determined by Zipin (including but not limited to purchasing usage rights within PandaResume and receiving various other value-added services), in order to obtain the corresponding services. If you do not pay the corresponding fees according to the applicable standards, you will not be able to obtain the corresponding services.

• (1) You acknowledge and agree that changes or adjustments to charging items or fee standards are normal commercial conduct, and you may not demand compensation or reimbursement from Zipin on that basis.
• (2) You acknowledge and agree that if you recharge using legal tender to purchase value-added services, the corresponding value-added services purchased or exchanged cannot be refunded or exchanged back into legal tender, unless otherwise mandatorily provided by law.
• (3) You acknowledge and agree that if a transaction involving recharging, purchasing, or other value-added services is cancelled or restored to its original state due to a refund or invalid civil act, Zipin has the right to deduct from your PandaResume account the other value-added services that were issued in connection with the cancelled or restored transaction.

4. Management of Registration Information

4.1 Authenticity and Legality

When using PandaResume Services, you shall provide your information accurately and completely as prompted on the PandaResume pages, including your name, email address, telephone number, and other information, so that Zipin or other users may contact you. You understand and agree that you are obligated to keep the information you provide true and valid. The name of your PandaResume account may not violate national laws and regulations or PandaResume's account-name management rules; otherwise, PandaResume may reclaim your account name. Reclamation of the account name does not affect your ability to log in to PandaResume using your email address or mobile number and use PandaResume Services. You shall ensure that your PandaResume account name and all acts performed using the account do not violate laws and regulations including, but not limited to, the Administrative Measures for the Security Protection of International Networking of Computer Information Networks, the Administrative Measures for Internet Information Services, the Administrative Provisions on Electronic Bulletin Services on the Internet, the Decision on Safeguarding Internet Security, the Administrative Provisions on Internet News Information Services, and the Provisions on the Administration of Internet User Account Names. Notwithstanding the foregoing, Zipin has no obligation to assume any responsibility for any user's registration information, including but not limited to identifying, verifying, or confirming the truthfulness, accuracy, completeness, suitability, and/or whether such information is up to date.

4.2 Updating and Maintenance

You shall update the information you provide in a timely manner. Where the law expressly requires Zipin, as a platform service provider, to verify certain user information, Zipin may, in accordance with law, inspect and verify your information from time to time, and you shall cooperate by providing the latest, true, complete, and valid information. If Zipin is unable to contact you based on the most recent information you provided, if you fail to provide information in time as required by Zipin, or if the information you provide is obviously false or is verified as invalid by administrative or judicial authorities, you shall bear all losses and adverse consequences caused thereby to yourself, others, and Zipin. Zipin may issue inquiries or rectification notices to you, require you to undergo re-verification, and may suspend or terminate part or all PandaResume Services provided to you, for which Zipin shall bear no liability.

4.3 Account Security Rules

Your account is set up and kept by you, and Zipin will never proactively ask you to provide your account password. Therefore, you are strongly advised to properly safeguard your account and ensure that you log out and leave PandaResume using correct steps at the end of each Internet session. Employers in particular shall strictly manage the actual users of their PandaResume accounts, including but not limited to employees, and ensure that such actual users strictly comply with PandaResume's agreements and rules. Any act performed on PandaResume by the actual user of an employer account shall be deemed an act of the employer, and the employer shall bear full responsibility for such acts. Zipin shall not bear responsibility for losses or consequences caused by your voluntary disclosure of the account or by attacks, fraud, or other conduct by others to which you are subjected; you shall seek recourse against the infringer through judicial, administrative, or other means. Except where Zipin is at fault, you shall be responsible for all results of acts carried out under your account.

5. Service Content

PandaResume provides users with resume services centered on resume-writing tools. Based on actual needs and other service content provided by Zipin from time to time, Zipin may enter into separate agreements with you. At the same time, even if no separate agreement is signed, your use of a specific PandaResume service shall be deemed your agreement to any requirement issued by Zipin regarding that specific service. If there is any conflict between another agreement and these Terms, the other agreement shall prevail, but only with respect to that conflict and the specific matters covered by that agreement.

Zipin reserves the right at any time to modify, suspend, or terminate certain free services, and reserves the right to adjust the categories and forms of services provided by PandaResume according to actual circumstances. Zipin shall not bear liability for losses caused to you by adjustments to any free services provided by PandaResume. Notwithstanding this clause, Zipin has the right to charge appropriate service fees for such free service content at a suitable time in the future.

Zipin reserves the right at any time to terminate paid services provided to you, and reserves the right to adjust the categories and forms of paid services offered by PandaResume according to actual circumstances. If Zipin terminates a certain paid service, Zipin's obligation shall be limited to refunding the portion of fees corresponding to the unused service period. In any event, Zipin will make reasonable efforts to give you a reasonable period of time to respond to such service changes, suspension, or termination.

AI Service Statement:

If you use Zipin-related artificial intelligence services, such as smart writing and AI image generation, you understand and agree that the content provided by smart writing is automatically learned and generated by machines from large volumes of corpora, and we do not guarantee the correctness or legality of generated content. You are responsible for your use of generated content and for the results of any modifications you make to such generated content. Smart writing is merely a tool for your resume writing. Your use of any smart writing service shall not be deemed to create any civil legal relationship between you and us such as entrustment, contract for work, or processing in relation to writing results. The content generated by smart writing according to what you choose to input does not represent our approval of your chosen inputs, the modified results, or their viewpoints or positions. You are responsible for the truthfulness and legality of the content you choose to input. Smart writing only automatically generates content based on the content you choose; with respect to the content you choose in the process, the modified results, and any modifications you make thereto, you confirm that you have obtained all necessary and lawful authorization from any third party.

You understand that the Services are provided on an "as is" basis according to the current level of technology and conditions. We will make our utmost efforts to ensure continuity and security of the Services, but we cannot guarantee that the Services will be completely free from defects. Therefore, you also agree that even if the Services contain defects, where such defects could not have been avoided under the technological level of the industry at that time, they shall not be deemed our breach of contract, and both parties shall cooperate in good faith to resolve the issue.

6. Right to Use Content

6.1 Users undertake to use PandaResume only for job seeking, personal branding, and similar purposes, and shall not deviate from the intended purposes of the specific functional modules of the website.

6.2 Content filled in by users on PandaResume, including but not limited to content under current product features of PandaResume, only represents the users' personal positions and opinions and does not represent the position or opinion of Zipin. As publishers of content, users shall be solely responsible for the content they publish. Any disputes arising from such content shall be borne entirely by the publisher, and Zipin shall bear no legal liability or joint liability.

6.3 If a user publishes content on PandaResume that infringes the intellectual property rights or other lawful rights and interests of others, PandaResume has the right, but not the obligation, to delete such content and reserve the right to transfer the matter to judicial authorities. Whether or not such content is deleted or transferred to judicial authorities, neither Zipin nor PandaResume shall bear any legal liability or joint liability.

6.4 Users may not use PandaResume Services to send or disseminate sensitive information or information that violates national legal systems, including but not limited to the following:

• Content opposing the basic principles established by the Constitution;
• Content endangering national security, leaking state secrets, subverting state power, or undermining national unity;
• Content damaging national honor and interests;
• Content inciting ethnic hatred or ethnic discrimination, or undermining ethnic unity;
• Content undermining national religious policy or promoting cults or feudal superstition;
• Content spreading rumors, disrupting social order, or undermining social stability;
• Content spreading obscenity, pornography, gambling, violence, murder, terrorism, or abetting crime;
• Content insulting or slandering others or infringing the lawful rights and interests of others;
• Content infringing others' intellectual property rights or involving third-party trade secrets or other proprietary rights;
• Content that may damage, tamper with, delete, or affect the normal operation of any PandaResume or Zipin system;
• Malicious software, program code, viruses, Trojans, crawlers, or similar tools used to secretly obtain data or personal information from the Zipin platform or other users without authorization;
• Any other content prohibited by laws or administrative regulations.

If a user publishes any of the foregoing content, PandaResume and Zipin will independently determine to immediately suspend or terminate the user's service account and delete the related content. The user shall bear legal responsibility for their online conduct, and PandaResume and Zipin shall bear no legal liability or joint liability in this regard. For service fees already paid by the user, if any, PandaResume and Zipin have the right not to refund them.

7. Protection and Authorization of User Information

7.1 Protection of Personal Information

Zipin attaches great importance to the protection of users' personal information, that is, information that can independently or in combination with other information identify a user. When you use the Services provided by Zipin, you agree that Zipin may collect, store, use, disclose, and protect your personal information in accordance with the Privacy Policy published by Zipin. Therefore, Zipin recommends that you read the User Privacy Policy in full to help you better protect your privacy rights. By using PandaResume and the Services provided by Zipin, you agree that Zipin may lawfully collect and use technical or diagnostic information relating to you and the Services you use. Such collected information will be used to improve the content and technology of PandaResume products and enhance the quality of PandaResume Services.

Zipin will not provide or sell your information and content to other organizations or individuals, except in the following circumstances: where you have given prior consent or authorization; where you proactively share information with third parties on PandaResume; where judicial authorities, competent government agencies, laws, regulations, or departmental rules require Zipin to provide such information; or where you violate these Terms of Service and Zipin needs to provide such information to a third party.

7.2 Protection and Authorization of Non-Personal Information

With respect to non-personal information such as text, images, videos, and audio that you provide, publish, or generate in the course of using PandaResume or Zipin Services, no transfer of intellectual property rights, portrait rights, or similar rights shall occur merely due to your uploading or publishing such information. Unless otherwise stated by us, to the extent permitted by law, you grant Zipin a free, non-exclusive, unrestricted-by-region license to use such information, including to store, use, copy, revise, edit, publish, display, translate, distribute, create derivative works from it, and incorporate it into other works in currently known or later developed forms, media, or technologies, and to sublicense such rights to third parties, as well as the right to collect evidence and initiate litigation against third-party infringement in Zipin's own name. To facilitate your use of PandaResume and other related Zipin services, you authorize Zipin to transmit information you provide or generate during account registration and use of PandaResume and Zipin Services to affiliated service providers of Zipin, or to obtain information generated during your use of related services from such affiliated service providers.

8. Copyright

8.1 The intellectual property rights in these Terms and in any content related to PandaResume or Zipin Services shall belong to Zipin. Such content includes, but is not limited to, the appearance design of PandaResume, computer code, content, information, and user information. The intellectual property rights referred to herein include, but are not limited to, patent rights, copyrights, and trademark rights. Without Zipin's prior written consent, you may not reproduce, copy, or use any part of the code or appearance design.

8.2 Zipin will use technical means to de-identify user data so that the de-identified information cannot identify the subject. Under such circumstances, Zipin has the right to use such de-identified information. On the premise that personal information has been anonymized or de-identified, all intellectual achievements formed by analyzing and utilizing user data shall belong to Zipin, including but not limited to patent rights and copyrights, such as analytical reports on the Internet industry and recruitment field based on de-identified platform user information.

9. Data Security

Zipin will make reasonable efforts to protect the security of your information and will adopt reasonable preventive measures for data transmission, storage, conversion, and similar processes. However, Internet data transmission, storage, and conversion may involve certain unknown and uncertain data security risks, which may result in consequences including but not limited to data loss, leakage, damage, unreadability, or inability to retrieve data. You confirm that you clearly understand and agree to accept such Internet-related risks and consequences, and that you have taken appropriate measures, such as data backup, to minimize losses if such risks occur. If you discover any potential security risk related to PandaResume, such as system vulnerabilities, or any personal information security incident, you may promptly provide feedback and contact us. Zipin shall not bear any compensation liability for harm to your data security caused by Internet technology itself or other circumstances not involving Zipin's intentional misconduct or gross negligence. Where your data security is harmed due to Zipin's gross negligence, Zipin's compensation liability shall be capped at the service fees charged to you.

10. Advertising

10.1 You acknowledge that we have the right to display advertisements through any of our products, pages, locations, and/or while providing the Services to you, whether for our own products/services or those of third parties.

10.2 You agree that you shall prudently judge the authenticity and reliability of advertisements appearing in the Services and, except as expressly provided by law, shall be responsible for actions you take based on such advertisements.

10.3 You should be aware that content presented to you as part of advertisements in the Services may be protected by intellectual property rights. You may not copy, modify, distribute, disseminate through information networks, or create derivative works from such content, whether in whole or in part.

11. Disclaimer

Once you register as a user, you are deemed to have entered into an agreement with Zipin and fully accepted all terms under these Terms of Service. The right to interpret, amend, and update the disclaimer belongs exclusively to Zipin.

• Any leakage of personal information caused by your disclosing your user password to others or sharing your registered account with others, or any other leakage of personal information not caused by Zipin, shall not give rise to any legal liability on the part of Zipin;
• Any disputes arising from third parties' use of your personal information under circumstances specified in Zipin's various service terms and statements shall not give rise to any legal liability or joint liability on the part of Zipin;
• Zipin shall bear no legal liability for temporary website shutdown caused by hacker attacks, computer virus intrusions, or government control;
• We encourage users to make full use of PandaResume to freely publish and share their own information. You may freely publish text, images, and other content, but such content must be in the public domain or you must own the right to use it. At the same time, users should not publish copyrighted content on their personal homepages or anywhere else on PandaResume;
• Zipin has the right to delete content posted on PandaResume that infringes others' intellectual property rights or other lawful rights and interests, and reserves the right to transfer such matters to judicial authorities;
• Users lawfully enjoy copyrights and other related rights in the lawful content they create and publish on PandaResume;
• The Internet is an open platform. When users upload images and other materials to the Internet, such materials may be copied, reposted, altered, or otherwise illegally used by other organizations or individuals. Users must be fully aware of such risks. Users expressly agree that all risks arising from the use of Zipin Services shall be borne entirely by users themselves, and all consequences arising from the use of Zipin Services shall also be borne by users themselves; Zipin shall bear no responsibility to users.

12. Change, Suspension, and Termination of Services

12.1 If network services are suspended or service functions are adjusted due to system maintenance or upgrades, Zipin will, whenever possible, provide prior notice on its website (https://www.pandaresume.cn/), APP client, or WeChat official account. During periods of website service interruption, PandaResume need not bear any economic compensation to users. If PandaResume and Zipin are unable to provide notice due to force majeure, emergencies, policy reasons, or similar circumstances, performance of obligations under this Agreement may be temporarily suspended, and PandaResume and Zipin shall not bear legal liability including liability for breach of contract.

12.2 Zipin has the right to unilaterally interrupt or terminate services to users without notice in any of the following circumstances:

• The personal information provided by the user is untrue;
• You engage in acts such as stealing others' accounts, publishing prohibited information, defrauding others of property, or seeking profits through improper means;
• The user's use of the Services violates national laws or regulations or infringes any lawful rights and interests of a third party;
• The user violates the usage rules agreed in these Terms of Service;
• PandaResume is used for commercial purposes without Zipin's consent.

12.3 After termination of this Agreement, except where explicitly required by law, Zipin has no obligation to disclose any information in your account to you or any third party designated by you.

12.4 After termination of this Agreement, Zipin shall still enjoy the following rights:

• (1) To continue storing various types of information retained by you on PandaResume;
• (2) To continue pursuing liability for your past breaches in accordance with this Agreement.

13. Improvement and Modification of the Terms of Service

Zipin has the right to improve and amend the Terms of Service from time to time in light of the development of the Internet and changes in the laws and regulations of the People's Republic of China. Zipin reserves the right to modify the Terms of Service at any time. When using Zipin's Services, users are required to carefully read and reconfirm the latest Terms of Service; where relevant disputes arise, the latest Terms of Service shall prevail.

14. Notices

14.1 All notices to you may be delivered through website announcements related to the Services, emails, ordinary internal messages, or SMS messages. Other important matters may also be notified in these forms.

14.2 Such notices shall be deemed delivered to the recipient on the date they are sent or announced. We shall not bear responsibility if, due to special reasons, including but not limited to invalid email addresses provided by you, email filtering, or mail blocking functions, the email address you provided fails to successfully receive notices we send to that address.

15. Special Provisions

The Services and the Services hereunder shall be governed by and interpreted in accordance with the laws of the People's Republic of China. If a user engages in any illegal or infringing activity through the Services, the user shall bear all responsibility independently, and Zipin shall bear no legal liability or joint liability. Accordingly, if any loss is caused to Zipin or any third party, the user shall be fully liable for compensation. Any dispute arising from your use of PandaResume or Zipin shall first be resolved through negotiation between Zipin and you. If negotiation fails, either party may bring a lawsuit before the people's court at Zipin's place of domicile.

16. Severability

If any provision of this Agreement is deemed abolished, invalid, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions of this Agreement.
